Het Litigation & Arbitration team is werkzaam over de volle breedte van het civiele procesrecht en richt zich onder meer op complexe grensoverschrijdende geschillen bijvoorbeeld in massaschade claims, cartel follow-on procedures en arbitrages – voor Nederlandse en internationale corporates én voor publieke partijen zoals de Rijksoverheid. Ter versterking is nu behoefte aan een medior advocaat-medewerker die wil werken in een dynamische werkomgeving. 

Functie

Als defence counsel procederen de teamleden over uiteenlopende en spraakmakende internationale kwesties, zoals emissies van dieselmotoren, Braziliaanse milieuschade, rentebenchmarks (zoals LIBOR) en de valutamarkt (FOREX). Kortom, spraakmakende zaken die regelmatig de kranten halen en waarvoor je veelal multidisciplinair samenwerkt. De lat ligt hoog en met enige regelmaat bezoek je je cliënten in het buitenland.

Functie-eisen

· Je hebt 4 tot 6 jaar werkervaring als defence counsel op het gebied van (commercial) litigation en/of werkervaring op het gebied van arbitration; ervaring met massaschade-procedures (class actions), cartel follow-on procedures en/of arbitrages is een pre. 

· Daarnaast heb je een brede juridische en maatschappelijke belangstelling. Zelfstandig opereren en een proactieve opstelling zijn voor jou een gegeven.

Functie

Je neemt binnen Hemwood samen met partner omgevingsrecht Eefje van Bommel de leiding bij het (verder) uitbouwen van de proces- en adviespraktijk. Functie-eisen

· omgevingsrechtelijk/bestuursrechtelijk gekwalificeerde equity advocaat-partner met praktijk en/of eventueel een team;

· je hebt ruime ervaring in het omgevingsrecht (ruimtelijke ordening en milieurecht) om zo de slagkracht van het kantoor binnen de overheidspraktijk te vergroten;

Functie

Als Legal Counsel krijg je direct veel verantwoordelijkheid en speel je een essentiële rol in de regelgevende aspecten van Marktlink. Met name in fondsstructureringen, investeringsdocumentatie en financiële regelgeving. Je bent daarnaast verantwoordelijk voor het opzetten van nieuwe fondsen (feeders, fund of funds), het opzetten en controleren van juridische documenten zoals: fondsovereenkomsten, PPM, KID, etc. Ook behoort het juridisch beoordelen van marketingmaterialen en andere documentatie tot je werkzaamheden. Uiteraard ben je op de hoogte van relevante wet- en regelgeving, met een focus op AIFMD, DORA en bredere financiële wetgeving. Verder verzorg je ad hoc juridische ondersteuning aan het salesteam en je houdt je bezig met het ontwikkelen van templates (aanbrengovereenkomsten, transfer agreements etc.). Wil je juridisch investeringen begeleiden van het investment team, daar is ook ruimte voor. De werkzaamheden van de General Counsel en van jou overlappen regelmatig, waardoor een goede onderlinge samenwerking van groot belang is. Tot slot word je geacht om waar nodig externe counsel, zoals advocaten, notarissen en fiscalisten, aan te sturen.

Functie-eisen

· Master Nederlands Recht, ongeveer 4 tot en met 8 jaar ervaring als advocaat of bedrijfsjurist binnen een financiële instelling in combinatie met sterke affiniteit of kennis van de relevante financiële regelgeving, waaronder AIFMD en DORA;

· Sterke juridische en Nederlandse schrijfvaardigheid, met het vermogen om complexe juridische documenten op te stellen;

· Kennis van fiscaliteit is een pre, maar geen vereiste;

· 4 of 5 dagen per week beschikbaar en vloeiend (mondeling en schriftelijk) in Nederlands en in Engels;

As part of the European corporate and commercial legal team, you will work alongside 5 legal counsel. Functie

Your ultimate goal will be to work on commercial agreements, (structuring) projects together with the business and your legal colleagues. You will also add value to existing activities of the Legal department by providing tailored advice and guidance to all stakeholders including the business. Important stakeholders of the legal counsel are for example the front office (which consists mostly of sales traders and back office), IT, the compliance and risk department and HR. Along with the fact that the trading market with respect to sustainability certificates is growing there is a trend that ACT enters increasingly into larger long-term (>10 years) purchase and sale agreements with their clients. Your contribution will be significant because of the fact that you will assist the business with the negotiation of these contracts.

The main responsibilities are:

● providing advice on complex projects working closely with the legal team on these topics;

● being involved in drafting, negotiating, standardization and optimization of sale and purchase agreements, service and project agreements and NDA’s.

Functie-eisen

● 4-6 years of experience in an international law firm or in-house;

● international transaction (M&A, finance, real estate, etc.) or project experience;

● excellent in negotiating, drafting and executing (commercial) purchase and sales contracts and excellent knowledge and use of English; 

● a self-confident and self-starting mentality, skilled stakeholder manager and entrepreneurial spirit;

● positive mindset, loves a fast-paced environment and ability to act swiftly on the spot.
