Functie

This is important role within the Allianz Partners Business Unit will be based in Amsterdam, and will include the wider management of the Benelux legal management of external lawyers operating in other countries within the European region.

 

Your responsibilities furthermore include (but are not limited to):

 

·         Operational Leadership: Lead the local legal function, managing the legal team (1p);

·         Legal Advisory: Offer legal advice across the insurance and service value chain, supporting key internal stakeholders and negotiations with partners;

·         Provide strategic legal and governance guidance to Allianz Partners regional and local Executives, ensuring accurate public documentation in trade registers;

Functie-eisen

·         You have a Dutch Masters’ degree in law and 10-15 years PQE;

·         In-house corporate experience in commercial contracting is a must;

·         Experience within insurance companies is a pre;

·         Knowledge of the Financial Supervision Act (Wet op het financieel toezicht, Wft) and related legislation (e.g. BGfo (Decree on Conduct of Business financial organizations), Vrijstellingsregeling Wft (Exemption Regulations pursuant to the Financial Supervision Act)) are a strong pre;

·         Experience in litigation (Courts/Ombudsman), data processing law, corporate governance/housekeeping, company law/M&A would be also a pre.

Functie

Het Corporate/M&A team heeft uitgebreide ervaring met transacties in het (semi) publieke domein en het bedrijfsleven. Onder meer bij privatiseringen, publiek-private samenwerkingen, publieke investeringen, fusies, overnames, joint ventures, (her)structureringen, financieringen, participaties, incentive plans en corporate governance. Daarbij focussen zij zich op gereguleerde markten en het publieke domein. Dat levert uiteenlopende cliënten op, waaronder centrale en decentrale overheden, investeerders, corporates, familiebedrijven en ook toezichthouders. Die combinatie maakt deze praktijk uniek. De transacties zijn boeiend en complex en vaak maatschappelijk relevant. 80% van het werk is in het Engels. De lat ligt hoog.

Functie-eisen

·  Je hebt 4 tot 9 jaar aantoonbare werkervaring, geheel of voor een merendeel op het gebied van Corporate/M&A.

Functie

The current AML team is located in Amsterdam and consists of the General Compliance / Operations Manager and a Senior Investor Relations Officer. To extend the Amsterdam team, Marktlink is looking for an energetic Medior CDD Analyst (full time) with a “hit-the-ground-running” mentality that can help the company with the CDD (Customer Due Diligence) for their investors (this vacancy). Het Restructuring & Insolvency team van Loyens & Loeff opereert Benelux-breed en is onderdeel van de praktijkgroep Litigation & Risk Managament. Het kernteam bestaat uit acht advocaten. De cliëntenkring is divers en bestaat uit onder meer financiële instellingen, private equity fondsen en grote ondernemingen. Meestal wordt in zaken gewerkt in een team van een partner en een of meer medewerkers/stagiaires, maar bij grotere zaken wordt nauw samengewerkt met advocaten uit andere praktijkgroepen, zoals; Corporate M&A en Finance. Ook wordt samengewerkt met de teams in België, Luxemburg en Zwitserland.
Binnen dit team houden de advocaten zich bezig met het adviseren en procederen over (vaak internationale) herstructureringen en grotere (dreigende) faillissementen. Ook adviseren zij over bestuurdersaansprakelijkheid en zijn zij nauw betrokken geweest bij alle grote WHOA-trajecten in het afgelopen jaar.

Functie

Door de groei van de praktijk is binnen het insolventie- en herstructureringsteam behoefte aan een advocaat-medewerker met ongeveer 3 tot 6 jaar ervaring, bij voorkeur op het gebied van insolventie en herstructureringen. Ervaring met en liefde voor het goederenrecht dan wel met financiering en zekerheden is vereist. Je vindt het leuk om zaken zelfstandig te behandelen en je neemt graag ‘ownership’ over dossiers. Je bent flexibel, collegiaal en je hebt een gezonde portie relativeringsvermogen. Je houdt ervan om ingewikkelde vraagstukken tot op de bodem uit te zoeken en vervolgens te vertalen naar een praktisch en onomwonden advies.

The Director Corporate Compliance & Ethics – Europe will, together with the Global Vice President of Compliance develop, implement and oversee our client’s European enterprise corporate compliance department and programs. This position will be responsible for key compliance initiatives in Europe, including policies and procedures, internal investigations, training, compliance counseling, diligence screening and compliance risk assessments. This position is critical to supporting the strategic and operational objectives by championing a centralized, coordinated approach to ethics and compliance across multiple business units in Europe and globally.

Functie

This role will be based from Amsterdam (Herengracht) in The Netherlands and will offer a high degree of flexible working. Regular travel within Europe will be expected. Hybrid working arrangements can be considered.

• Provide strategic leadership and corporate compliance advice for the European region, working closely with the VP, Global Corporate Compliance & Ethics and the General Counsel – Europe, the European Leadership Team as well as regional, national and facility leadership.
• Design, deliver and maintain the enterprise compliance program that governs our clients commitment to ensuring compliance with relevant law, industry codes, organizational standards, standards of good corporate governance, ethics and community expectations in Europe, working closely with the VP, Global Corporate Compliance & Ethics and the General Counsel – Europe.
• Strengthen the ethics and compliance culture by leading and continuously improving the European compliance program and proactively documenting and implementing remedial measures, as required.
• Partner with the business, including the global and regional leadership teams, to assess the governance and management of risks as the business pursues strategic opportunities, to challenge and support delivery of the commitments and strategy of the business.
• Provide subject-matter expertise and day-to-day, international (country-specific) and local guidance on relevant compliance and related regulatory matters in Europe, including, without limitation, anti-bribery and corruption, anti-money laundering, ESG (including modern slavery), data privacy (including GDPR), cyber and data security, customs and trade compliance, whistleblowing, sanctions and antitrust.
• Develop policies, procedures, and processes to comply with applicable jurisdictional law, regulations and policies, contract requirements and European best practice.
• Develop and implement effective monitoring of compliance, in partnership with internal audit and business leaders.
• Develop and conduct mandatory compliance training and awareness programs.
• Lead best in class annual risk assessments and identify opportunities to strengthen internal compliance.
• Prepare and present periodic reporting to key stakeholders and senior leadership.
• Conduct and manage internal investigations and respond to whistleblower events in coordination with the Legal Team Europe.
• Facilitate external audits with customers and regulators.
• Drive expansion of the use of automated systems to implement controls and training.
• Develop and build strong cross-functional relationships to identify, assess and anticipate emerging compliance related risk areas across the company in Europe and provide support and guidance on the management of these emerging risks
• Participate in compliance-related programs led by multiple business units and provide support as needed.
• Ensure that record management systems are kept updated.
• Establish and build strong relationships with government and other regulatory authorities and continuously revalidate the state of compliance of the business.

Aanbod

• At least 8 – 15 years of relevant experience gained at a top tier law firm and/or in-house. Able to lead the compliance function in a European organization with multi regional experience/responsibility, partnering closely with senior leadership and cross-functional business partners.
• Bachelor’s and Master’s degree in Dutch Law from a reputable university in The Netherlands. Risk and compliance related postgraduate qualifications/certifications highly regarded.
• Excellent interpersonal and communication skills with the ability to translate technical and detailed information clearly and influence and drive connectivity across all levels of the organization.
• Ability to provide thought leadership to business leaders versus a compliance only approach.
• Extensive experience conducting internal compliance audits.
• Strong working knowledge of business operations, processes and governance.
